Why Are Walgreens And Rite Aid Attempting To Merge?

Walgreens Boots Alliance has agreed to pay $192.5 million to settle a class action lawsuit by Rite Aid investors who accused the drugstore chain of misleading them in 2017. Walgreens and Rite Aid recently announced an agreement with Fred’s Pharmacy, which will purchase 865 stores and acquire Rite Aid Corp. (RAD) for $9.00 in cash per share of Rite Aid. The Federal Trade Commission was not convinced that Walgreens’ plan to sell Rite Aid 865 stores to Fred’s is enough for the deal.

The Walgreens Boots Alliance (WBA) has abandoned efforts to merge with fellow drugstore chain Rite Aid RAD. Instead, it has decided to buy Rite Aid Corp. for $9.00 in cash per share of Rite Aid. The proposed merger with smaller U.S. rival Rite Aid is still not a done deal yet, as regulators need to greenlight the $17 billion deal.

Walgreens Boots Alliance scrapped its deal to buy Rite Aid Corp after failing to win antitrust approval. Investors sued Walgreens over misleading statements made about the merger. The settlement still needs to be determined. Walgreens bought small properties of RiteAid and partnered with each other, but did not buy the entire Rite Aid franchise. Walgreens made a $5.2-billion investment in primary care provider Rite Aid.

In March, Walgreens Boots Alliance completed its $4.4 billion acquisition of 1,932 Rite Aid stores and three distribution centers. Both agreements have been terminated, and Walgreens Boots Alliance will pay Rite Aid the $325 million termination fee with respect to their merger.

Why is Walgreens buying Rite Aid?

Walgreens Boots Alliance agreed to buy Rite-Aid in 2015 for $17 billion, including debt, to expand its U. S. presence. However, the deal was scaled back in 2017, with Walgreens estimating it would need to sell 1, 200 Rite-Aid stores to meet regulatory approval. Six months later, Walgreens dropped the deal, buying 2, 186 Rite Aid stores for $5. 18 billion, halving Rite Aid’s store count and paying a $325 million termination fee.

In February 2018, Rite Aid considered a combination with Albertsons in February 2018, but the $2. 4 billion deal was called off due to shareholder resistance. Proxy advisory firms recommended voting against the transaction.

In April 2022, Rite Aid’s board rejected an unsolicited $3. 6 billion takeover offer from activist investor firm Spear Point Capital Management, calling the deal “not credible”. These deals have impacted Rite Aid’s overall strategy and revenue.

Why did Rite Aid fail?

Rite Aid’s bankruptcy was a result of multiple factors, including debt, opioid-related lawsuits, and a struggle to compete against larger companies like CVS, Amazon, and Walgreens Boots Alliance. In 2017, after a failed merger with Walgreens, Rite Aid sold almost 50 of its stores to Walgreens for $5. 18 billion. The money raised helped reduce debt but also shrinked the chain, relying on fewer stores to compete with growth-focused competitors. As the company continued to struggle, more locations closed, making it harder for Rite Aid to compete.

The sale of the stores became a death spiral when combined with debt and legal troubles. Executives must focus on core competencies and understand their leverage and sustainable conditions when navigating troubled waters. Rite Aid missed an opportunity to reduce debt and refocus on its core business, leading to billions of dollars lost and a competitor growing even larger.
